BRAEBURN WOMEN’S GOLF ASSOCIATION
 
CONSTITUTION AND BYLAWS
 
 
ARTICLE I – NAME AND PURPOSE
 
SECTION 1.  The name of this organization shall be “BraeBurn Women’s Golf Association,” hereinafter referred to as the  “W.G.A.”
 
Section 2.  The purpose of the W.G.A. is to promote good fellowship and sportsmanship among its members and encourage active participation of its members in playing golf, taking part in golf tournaments and participating in all W.G.A. activities and events.
 
Article II – Meetings
 
Section 1.  Regular Meetings of the W.G.A. shall be held two (2) times annually, or an any other times and dates at the discretion of the Executive Committee.
 
Section 2.  All Regular Meetings of the W.G.A. shall be held at BraeBurn Country Club.
 
Section 3.  Special Meetings of the W.G.A. may be called at any time by the President or Vice President in the absence of the President, or any three (3) members of the Executive Committee.  Special Meetings of the W.G.A. may be held at any location.
 
Article III – Amendments
 
Section 1.  This Constitution of the W.G.A. may be amended at any Regular or Special Meeting in conformity with the provisions herein.  A quorum of 15% of the dues paying members of the W.G.A. must be present, and any amendment(s) to the Constitution must be passed by a two-thirds (2/3) vote of those in attendance.  The proposed amendment(s) must have been read at a prior meeting or posted for thirty (30) days prior to a vote of the W.G.A. membership.
 
Section 2.   W.G.A. Members in good standing are entitled to vote.
 
BYLAWS
 
Article I – Membership and Dues
 
Section 1.  Any woman who is a member in good standing of BraeBurn Country Club or is a woman who has been granted full club privileges by the Board of Directors of BraeBurn Country Club is eligible for membership in the W.G.A.
 
 
Section 2.  W.G.A. members in good standing are entitled to vote.
 
Section 3.  Annual dues shall be set by the W.G.A. Board.  W.G.A. dues will be billed annually and appear on member statements.  No dues will be refunded six (6) months after billing date.  Members joining the W.G.A. six months after billing date shall pay one-half (1/2) of the regular dues amount.
 
 
Article II – Officers
 
Section 1.  The elected officers of the WG.A. shall be the President, Vice President, Secretary, and Treasurer. 
 
Section 2.  The President, or in her absence or the vacancy of her office, the Vice President, shall preside at all meetings of the W.G.A. and of the Board, and shall have general supervision over the affairs of the W.G.A.  The President shall call meetings of the Board when deemed necessary.  The President as may be appropriate, shall represent the W.G.A. on the BraeBurn Country Club Golf Committee.
 
Section 3.  The Vice President, in addition to her duties as an officer, shall assume the responsibilities for social events of the W.G.A.  The Vice President, as may be appropriate, shall represent the W.G.A. on the BraeBurn Country Club House/Social Committee.
 
Section 4.  The Secretary shall keep the records of the meetings of the W.G.A. and the Board and handle all communications of the W.G.A., as necessary.
 
Section 5.  The Treasurer shall collect and keep all monies of the W.G.A. and disburse them as directed by the Board.  She shall keep the official roster of W.G.A. members and Ace Club members, and all accounts of the W.G.A., which shall be open for the inspection of the Board.  She shall make a report of the financial status of the W.G.A. at each Executive meeting. 
 
Section 6.  The Executive Committee of the W.G.A. shall consist of the elected officers of the W.G.A.
 
 
 
 
 
 
 
 
Article III – Board
 
Section 1.  The Board shall consist of the members of the Executive Committee, and the Past President, at her discretion. 
 
Section 2.  The Board shall make and amend rules to conduct golf tournaments, social functions, and to expend the funds of the W.G.A.
 
Section 3.  The Board shall take office at the beginning of the designated year.   
 
Section 4.  The President, with the approval of the officers of the W.G.A. shall appoint any committees necessary to conduct the affairs of the WG.A.  
 
Section 5.  Each member of the Board and all committees shall submit a written report at the end of the year to the President, to be passed along to the incoming Board.
 
Section 6.  Any vacancy on the Board shall be filled by the President, subject to the approval of the Board.
 
Article IV – Elections
 
Section 1.  The W.G.A. shall hold annual election within the month prior to the end of the designated year.  A quorum of 15% of the dues paying members of the W.G.A. must be present at such meeting.
 
Section 2.  At any W.G.A. meeting, 15% of the dues paying members shall constitute a quorum.
 
Section 3.  Nominations for officers to be voted on at the annual election shall be made by a Nominating Committee appointed by the President.  The slate of the proposed officers must be posted at least thirty (30) days prior to the annual election date.
 
Article V – Order of Business
 
The order of business for all Regular Meetings of the W.G.A. shall include the reading of the minutes of the previous meeting, reports of the Treasurer and Committee Chairmen and discussion of any old and new business of the W.G.A., followed by the adjournment of the meeting.
 
 
 
 
 
 
Article VI – W.G.A. Championship
 
A  W.G.A. Championship Tournament shall be held annually.  Any member in good standing of the W.G.A. with an established handicap at BraeBurn is eligible to participate in the Championship Tournament
 
Article VII – amendments
 
These Bylaws may be altered or amended at any Regular or Special Meeting of the W.G.A. in conformity with the provisions of the W.G.A. Constitution.  A quorum of 15% of the dues paying members of the W.G.A. must be present, and the amendment(s) must be passed by a two-thirds (2/3) vote.   The proposed amendment(s) must have been read at a prior Regular or Special Meeting of the WG.A. or posted for at least thirty (30) days prior to the meeting at which the vote on any such amendment(s) will be held.
